Service Agreement

This service agreement (the "Agreement") is to confirm your purchase of certain Email Archiving Servcies from Gaggle.Net, Inc. and the terms pursuant to which Gaggle.Net is agreeing to provide those services.


Gaggle.Net shall provide Services to you as described in one or more service addenda executed by both parties pursuant to, and forming a party of, this service agreement (the “Service(s)”). Both parties agree that additional Services may be added by executing additional service addenda, each of which will be a part of this agreement. You agree to pay the fees (including any applicable taxes and fees) and to comply with the customer obligations set forth on each service addendum. Unless otherwise stated in a service addendum, all payments are due 30 days from the applicable invoice date. With respect to all connectivity services, you agree to abide by Gaggle.Net’s posted acceptable use policy (http://www.gagglemail.com/aup/), as Gaggle.Net may update it from time to time.


The term of this agreement is three years, although a service addendum may have a longer or shorter term if specified in that addendum. Except as may be provided otherwise in a service addendum, this agreement, and each service addendum, will renew automatically for additional one year terms unless one of us gives written notice of non-renewal at least 30 days before the end of the term.


Each party disclaims any liability to the other party for any form of consequential, indirect, or punitive damages, and for any direct damages in excess of the amounts paid by you to Gaggle.Net for the applicable Service. Neither party is liable for any delay or failure to perform as a result of any causes or conditions that are outside of such party’s reasonable control, provided that the affected party gives prompt written notice of the situation to the other party and uses its reasonable efforts to remedy or work around the problem. This agreement, and any service addendum, may be amended only by a written agreement signed by the parties that identifies itself as an amendment. This agreement is governed by the internal substantive laws of the state of Illinois.
